1. Agreement to Terms

By accessing or using SplitScript (the "Service"), operated by Staiple Technologies Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

SplitScript is an AI-powered script breakdown service that analyzes screenplays and generates department-specific breakdowns for film and television production. The Service processes uploaded scripts and delivers breakdown reports in Excel format.

3. User Accounts

Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of any unauthorized access
• One person or entity per account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use

You agree NOT to:

• Upload content you don't have rights to
• Use the Service for illegal purposes
• Attempt to reverse engineer or hack the Service
• Resell or redistribute the Service without authorization
• Upload malicious files or content
• Violate any applicable laws or regulations

5. Intellectual Property

Your Content

You retain all rights to scripts you upload. By using the Service, you grant us a limited license to process your scripts solely for providing the breakdown service. We do not claim ownership of your content.

Our Service

The Service, including all software, algorithms, and generated breakdowns (excluding your content), is owned by Staiple Technologies Inc. and protected by intellectual property laws.

6. Payment Terms

• Pricing: $0.07 per script page
• Payment is required before processing
• All payments are processed through Stripe
• Prices are in USD and subject to change with notice

Refunds

Refunds are available if the Service fails to process your script. Refunds are not available for successfully processed scripts, regardless of satisfaction with results.

7. Data Processing and Privacy

• Scripts are processed using AI technology
• Original scripts are deleted immediately after processing
• Generated breakdowns are available for 24 hours
• We do not read, store, or share your script content

8. Disclaimers and Limitations

Service Availability

The Service is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted availability or error-free operation.

AI Limitations

While our AI strives for accuracy, generated breakdowns may contain errors or omissions. Users should review and verify all breakdown data before use in production.

Limitation of Liability

To the maximum extent permitted by law, Staiple Technologies Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability shall not exceed the amount paid for the specific service that caused the issue.

9. Indemnification

You agree to indemnify and hold harmless Staiple Technologies Inc. from any claims arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service announcement. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
